Operator
These Terms of Service ("Terms") are a binding agreement between you and kooblet ("kooblet", "we", "us", or "our"), the operator of the selp application and website located at selp.kooblet.com. For any questions regarding these Terms, contact support@kooblet.com.
Acceptance & Age Requirement
By creating an account, accessing, or using the selp platform (the "Service"), you agree to be bound by these Terms. If you do not agree to every provision of these Terms, do not use the Service.
You must be at least 18 years old to use the Service. By selecting the acceptance checkbox during account registration, you confirm under penalty of perjury that you are 18 years of age or older and have the legal capacity to enter into binding contracts, including contracts formed between you and other users through the Service.
User Accounts & Obligations
- Keep your account credentials (password, device access) confidential. You are fully responsible for all actions taken under your account, whether authorized by you or not, except for actions caused by our gross negligence.
- Provide accurate, truthful, and current information in your profile and registration fields. You agree to update your information promptly if it changes.
- You may not impersonate any other person, create more than one personal account without prior written approval, or transfer your account to another person.
- You agree that any contract, transaction, or arrangement formed between you and another user through selp is a direct agreement between you and that user. kooblet is not a party to any such user-to-user contract.
Prohibited Conduct
You agree you will not, and will not assist or enable any third party to:
- Use the Service for any purpose that is illegal, fraudulent, misleading, discriminatory, harassing, defamatory, abusive, threatening, obscene, or otherwise objectionable under applicable law.
- Post or upload requests, offers, messages, or media that contain false information, impersonate others, misrepresent your identity, qualifications, intent, or ability to perform.
- Interfere with or disrupt the operation of the Service, compromise the security of any server, network, or account, use scrapers, bots, or automated tools to access the Service without written consent, or introduce malware, viruses, or malicious code.
- Use the Service to send unsolicited commercial messages, spam, or solicitations unrelated to genuine need-offer marketplace activity.
- Create fake or fictitious offers, requests, profiles, or transactions in order to bait, defraud, harass, or identify other users outside the platform.
- Reproduce, copy, sell, resell, rent, lease, distribute, publicly display, publicly perform, reverse engineer, decompile, or otherwise exploit any portion of the Service or its proprietary code except as expressly permitted by these Terms.
- Remove, alter, or obscure any proprietary notices (including copyright and trademark notices) contained within the Service.
selp Is a Venue (Platform Disclaimer)
selp is a venue/platform only. selp does not provide, perform, endorse, vet, supervise, guarantee the payment, delivery, quality, safety, suitability, or legality of any of the services, goods, rides, errands, barter items, tutoring, accommodation, assistance, or other offers listed or arranged between users through the platform. selp is not an employer, agent, broker, insurer, joint venturer, or fiduciary of any user. kooblet is not a party to any contract, agreement, transaction, or dispute entered into between users, and has no obligation to intervene in user disputes beyond reasonable account moderation.
To the fullest extent permitted by applicable law, kooblet / selp disclaims all warranties, express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties that may arise from a course of dealing, course of performance, or usage of trade.
Users are solely responsible for: verifying the identity, age, suitability, credentials, and trustworthiness of any counterparty; negotiating and agreeing on all material terms (scope, price, timing, delivery, payment method, refunds, warranties); arranging safe, lawful, and consensual in-person handoffs, meetings, and payments; performing their obligations under any user-to-user agreement; and resolving any disputes directly with the other user, including through local small claims, consumer protection agencies, or courts as applicable. You acknowledge that real-world meetings and transactions carry inherent risks, and you agree to take all reasonable precautions for your personal safety and property.
Limitation of Liability
To the maximum extent not prohibited by applicable law, in no event shall kooblet, its parent companies, subsidiaries, affiliates, officers, directors, employees, agents, contractors, suppliers, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages; or any loss of profits, revenue, business, anticipated savings, data, use, goodwill, or other intangible losses — whether in contract, tort (including negligence), strict liability, or otherwise — resulting from (a) your access to, use of, or inability to access or use the Service; (b) any conduct or content of any third party, including other users, advertisers, or links to external websites; (c) any content obtained from the Service; or (d) unauthorized access, use, or alteration of your transmissions or content, even if kooblet has been advised of the possibility of such damages, and even if a limited remedy set forth herein is found to have failed of its essential purpose.
Notwithstanding any other provision of these Terms, kooblet's total aggregate liability to you for any and all claims, damages, losses, and causes of action arising out of or relating to these Terms or your use of the Service, regardless of the form of action (whether in contract, tort, or otherwise), shall be limited in the aggregate to the total amount of any fees, if any, that you actually paid directly to kooblet for use of the Service during the twelve (12) calendar months immediately preceding the event giving rise to the claim. The parties agree that the limitations and disclaimers in these Terms are fundamental elements of the bargain between you and kooblet, and that kooblet would not be able to provide the Service on an economically reasonable basis without such limitations.
Intellectual Property
All rights, title, and interest in and to the selp and kooblet trademarks, logos, brand features, domain names, the look-and-feel of the Service, all platform software code, documentation, and copyrightable works developed by or for kooblet, and all intellectual property rights therein, are and will remain the exclusive property of kooblet and/or its licensors. These Terms do not grant you any license or right to use any kooblet or selp trademarks, logos, or brand assets except as expressly approved in writing by kooblet.
With respect to content you submit, upload, post, or transmit through or to the Service (including but not limited to request text, offer text, messages, photographs, profile information, and media, collectively "User Content"), you retain your ownership rights. You hereby grant to kooblet a worldwide, non-exclusive, royalty-free, transferable, sublicensable (through multiple tiers) license to host, store, reproduce, process, transmit, display, perform, distribute, adapt, modify, publish, and otherwise use your User Content solely for the purpose of providing, operating, developing, improving, maintaining, troubleshooting, and protecting the Service, and as otherwise required by law.
Termination
Kooblet may, at its sole discretion, suspend, restrict, or permanently terminate your account and your right to use the Service at any time, for any reason or no reason, with or without notice, including but not limited to any actual or suspected breach of these Terms, any violation of applicable law, or any behavior that is harmful to other users, the Service, or kooblet's interests. Upon any such suspension or termination, all licenses granted to you under these Terms shall immediately cease.
You may close your account at any time from within your Profile settings page, or by sending a deletion request to support@kooblet.com. Sections of these Terms that by their nature are intended to survive termination (including but not limited to intellectual property licenses you granted, disclaimers, limitation of liability, indemnity, and governing law) shall survive any account closure or termination.
Indemnification
To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless kooblet, its parent companies, subsidiaries, affiliates, officers, directors, employees, agents, contractors, suppliers, and licensors from and against any and all claims, causes of action, lawsuits, proceedings, disputes, demands, liabilities, damages, losses, costs, and expenses (including, without limitation, reasonable attorneys' fees, costs, and expert witness fees) arising out of, relating to, or resulting from: (a) your access to, use of, or misuse of the Service; (b) your User Content; (c) your breach or alleged breach of any provision of these Terms or of any representation, warranty, or obligation referenced herein; (d) your violation of any applicable law, rule, regulation, order, or third-party right; or (e) any dispute, transaction, or arrangement between you and any other user of the Service. Kooblet reserves the right, at your expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you agree to cooperate with kooblet's defense of such claims at your expense.
Dispute Resolution & Governing Law
These Terms and any action related thereto will be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of laws principles. Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, enforcement, interpretation, or validity thereof, shall be submitted first to good-faith informal negotiation for a period of not less than thirty (30) days following written notice of the dispute. In the event the dispute is not resolved through informal negotiation, either party may submit it to the exclusive jurisdiction of the appropriate courts located in the Republic of the Philippines, and the parties irrevocably consent to the personal jurisdiction and venue of such courts. The United Nations Convention on Contracts for the International Sale of Goods is expressly excluded from these Terms.
Miscellaneous
- These Terms, together with the Privacy Policy and any other policies kooblet may publish from time to time via the Service, constitute the entire agreement between you and kooblet with respect to your use of the Service, and supersede all prior or contemporaneous oral or written agreements, representations, or understandings between you and kooblet on that subject.
- If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions of these Terms will remain in full force and effect, and the invalid, illegal, or unenforceable provision will be deemed reformed to the minimum extent necessary to make it valid, legal, and enforceable, while preserving the original intent of the parties as closely as possible.
- No waiver by kooblet of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition, and kooblet's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
- These Terms are personal to you, and you may not assign, delegate, or otherwise transfer any of your rights or obligations hereunder without kooblet's prior written consent. Any purported assignment in violation of this provision is null and void. Kooblet may freely assign these Terms, in whole or in part, in connection with a merger, acquisition, reorganization, sale of substantially all of its assets, or by operation of law.
Changes to These Terms
We may modify these Terms from time to time. Modifications will be posted at this URL (/terms.html) with a revised "Last updated" date at the top of the page. Your continued access to or use of the Service after the effective date of the modified Terms (whether or not you have read them) constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service and close your account. For material changes that materially reduce your rights, we will also make reasonable efforts to provide prominent notice (such as an in-app banner) for a reasonable period before the changes take effect.
